Engagement Process
Initial Review
All potential client relationships begin with an initial review of your submitted information. This review allows us to assess scope, complexity, and whether we can provide the services you need. We reserve the right to decline any engagement at our discretion.
Formal Engagement
If we determine we can assist you, we will provide a detailed engagement letter outlining the scope of services, fees, terms, and conditions. Services begin only after you have signed the engagement letter and paid any required retainer or initial fee. All fees are non-refundable once services commence.
Client Responsibilities
As a client, you agree to:
- Provide complete, accurate, and timely information and documentation
- Respond promptly to our requests for information or clarification
- Review all prepared documents before filing or submission
- Pay all fees and charges according to the agreed terms
- Maintain copies of all documents provided to us
- Use our secure client portal for all document exchanges and communications
- Notify us immediately of any changes to your situation that may affect our work
Fees and Payment
All fees are determined based on the scope and complexity of work required. Fees may include:
- Non-refundable engagement fees
- Hourly rates for professional services
- Fixed fees for specific deliverables
- Additional charges for expedited service, if available and agreed upon
- Charges for out-of-scope work discovered during the engagement
Payment is due according to the terms specified in your engagement letter. Late payments may incur additional fees and may result in suspension of services.
Scope Changes
If additional work is discovered that was not included in the original scope, we will notify you promptly. Continuation of such work requires your agreement to revised pricing and terms. We reserve the right to stop work if scope changes are not agreed to in writing.
Professional Standards
Our services are provided in accordance with applicable professional standards, including those established by the American Institute of Certified Public Accountants (AICPA) and relevant state boards. We maintain independence, objectivity, and professional skepticism in all engagements.
Limitation of Liability
To the fullest extent permitted by law, Arc & Ledger's liability for any claims arising from our services shall be limited to the fees paid for the specific service giving rise to the claim. We shall not be liable for any indirect, consequential, special, or punitive damages.
This limitation does not apply to damages resulting from our gross negligence, willful misconduct, or breach of fiduciary duty.
Confidentiality
We maintain strict confidentiality of all client information in accordance with professional standards and applicable law. However, we may be required to disclose information in response to legal process, regulatory requirements, or professional obligations.
Document Retention
We retain client files and work papers in accordance with professional standards and legal requirements. After the retention period expires, we may destroy these records without further notice. You are responsible for maintaining your own copies of all documents and tax returns.
Termination
Either party may terminate the engagement relationship upon written notice, subject to the following:
- You remain responsible for payment of all fees for services rendered up to the termination date
- Engagement fees and retainers are non-refundable
- We will provide you with copies of your documents and work completed to date
- We are not responsible for any consequences resulting from incomplete work at termination
- Confidentiality obligations continue after termination

All content on this website, including text, graphics, logos, and software, is the property of Arc & Ledger and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our express written permission.
Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Los Angeles County, California. Each party shall bear its own costs and attorney fees unless otherwise awarded by the arbitrator.
